Terms of Service & EULA

1. Acceptance of Terms
These Terms of Service and End User License Agreement (“Terms”) govern your access to and use of ParentPro, including the ParentPro mobile application, website, features, content, and related services (collectively, the “Service”). ParentPro, including the app and related services, is owned and operated by NANOFILING LLC (“NANOFILING,” “we,” “us,” or “our”). By downloading, installing, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
2. Description of Service
ParentPro is an operating system for parents to manage their parenting with their kids on iOS. The Service allows you to:
- Maintain a shared family calendar with events, schedules, and reminders
- Create child profiles and track per-child progress, routines, and achievements
- Record milestones with photos, videos, and notes
- Track parenting budgets and organize providers and contacts
- Coordinate with co-parents and caregivers through shared notes, handoffs, and expense splitting
- Ask the “Talk to ParentPro” AI assistant for general parenting guidance and suggestions
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.
3. Eligibility and Account Registration
You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to create an account and use the Service. The Service is intended for parents, guardians, and caregivers managing information about children in their care. By creating an account, you represent that all information you provide is accurate and complete, and that you will keep it up to date.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at owner@nanofiling.com if you suspect unauthorized access to your account.
4. User Content and Family Data
You may submit child profiles, photos, milestones, calendar and family data, budgets, contacts, notes, and other content (“User Content”) to the Service. You retain ownership of your User Content. By submitting User Content, you grant NANOFILING LLC a non-exclusive, worldwide, royalty-free license to use, store, process, and display your User Content solely for the purpose of operating, maintaining, protecting, and improving the Service.
You represent and warrant that you own or have the necessary rights and authority to submit your User Content, including any information about children or other individuals, and that doing so does not violate any third-party rights or applicable law.
5. AI-Generated Content and Parenting Guidance
The Service uses artificial intelligence, automated algorithms, and related systems to generate suggestions, summaries, reminders, and parenting guidance through features such as “Talk to ParentPro.” AI-generated content may be inaccurate, incomplete, delayed, or inappropriate for your circumstances. You should independently evaluate AI-generated information before relying on it.
AI-generated parenting guidance is general information only and is not professional medical, psychological, educational, legal, or financial advice. You are solely responsible for the decisions you make for your family.
6. Not Professional Advice
The Service is provided for informational, organizational, and convenience purposes only. It is not a medical, psychological, educational, legal, or financial service, and nothing in the Service constitutes professional advice, diagnosis, or treatment. NANOFILING LLC is not a healthcare provider, licensed therapist, attorney, or financial advisor and does not provide such professional services through the Service.
Always seek the guidance of a qualified professional with any questions you may have regarding your child’s health, development, education, safety, or wellbeing, or regarding any legal or financial matter such as custody arrangements. Never disregard professional advice or delay seeking it because of something you read, saw, or received through the Service. In an emergency, contact your local emergency services immediately.
The Service is not designed to mediate, adjudicate, or enforce custody, visitation, or co-parenting disputes. Any custody schedules, expense records, notes, or handoff logs are a convenience only and are not legal records, and we make no representation that they are admissible or accurate for any legal purpose.
7. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
- Attempt to gain unauthorized access to any part of the Service or its infrastructure, or to another family’s data
- Reverse-engineer, decompile, disassemble, or attempt to derive the source code of any part of the Service
- Use automated scripts, bots, scrapers, or similar tools to extract data from the Service
- Submit content that is harmful, offensive, deceptive, unlawful, or violates third-party rights, including the privacy of any child or other individual
- Interfere with or disrupt the integrity, security, availability, or performance of the Service
8. Intellectual Property
All rights, title, and interest in and to the Service, including its software, design, branding, AI systems, models, workflows, and Service-generated content, are owned by or licensed to NANOFILING LLC. Nothing in these Terms grants you any right to use our trademarks, logos, brand elements, or other intellectual property without our prior written consent.
9. App License
Subject to these Terms, NANOFILING LLC grants you a limited, personal, non-exclusive, non-transferable, revocable license to download, install, and use the ParentPro mobile application on devices you own or control, solely for your personal, non-commercial use and as permitted by applicable App Store terms and usage rules.
You may not copy, modify, distribute, sell, lease, sublicense, reverse-engineer, or create derivative works from the app or any part of the Service except to the extent applicable law prohibits such restrictions. Apple’s App Store terms and policies may also apply to your download, purchase, and use of the app.
10. Subscriptions, Auto-Renewal, and Payments
Certain features of the Service (“ParentPro Pro”) are offered on a subscription basis. Subscriptions and in-app purchases are processed through Apple’s App Store, and billing, refunds, renewals, cancellations, and subscription management are governed by Apple’s terms and policies.
Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period. Your Apple ID account will be charged for renewal within 24 hours prior to the end of the current period, at the price of the selected plan. You can manage or cancel your subscription, and turn off auto-renewal, in your Apple ID account settings at any time. If a free trial is offered, any unused portion of the trial is forfeited when you purchase a subscription, where applicable.
Prices, trial availability, subscription terms, and feature availability are subject to change. We will provide reasonable notice of material pricing changes where required by law or platform rules.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE SERVICE WILL BE ACCURATE, COMPLETE, RELIABLE, SECURE, AVAILABLE, OR FREE OF HARMFUL COMPONENTS.
12. Assumption of Risk and Limitation of Liability
By using the Service, you expressly acknowledge and agree that your use of the Service and any reliance on information provided by the Service is at your sole risk. You assume full responsibility for any decisions you make based on information provided by the Service, including decisions related to your children, your household, your finances, and your co-parenting arrangements.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NANOFILING LLC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO: (A) YOUR USE OF OR INABILITY TO USE THE SERVICE; (B) ANY HARM, INJURY, OR OUTCOME RELATED TO A CHILD, HOUSEHOLD, OR FAMILY MEMBER ARISING FROM YOUR USE OF OR RELIANCE ON THE SERVICE; (C) ANY INACCURACY IN AI-GENERATED CONTENT OR PARENTING GUIDANCE; (D) ANY DISPUTE BETWEEN CO-PARENTS, CAREGIVERS, OR OTHER USERS; OR (E) ANY OTHER MATTER RELATING TO THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (USD $100), WHICHEVER IS GREATER.
13. Indemnification
You agree to indemnify, defend, and hold harmless NANOFILING LLC and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your User Content, your reliance on Service-generated information, your violation of these Terms, or your violation of any rights of any third party.
14. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may terminate your account at any time by deleting the app and requesting account deletion at owner@nanofiling.com. Upon termination, your right to use the Service ceases immediately. Any provisions that by their nature should survive termination, including Sections 4, 5, 6, 8, 11, 12, 13, and 15, survive termination.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. Any dispute arising under these Terms shall be resolved by binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.
You and NANOFILING LLC agree to waive any right to a jury trial or to participate in class action litigation.
16. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by updating the effective date above and, where appropriate, by website notice, email, or in-app notification. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
